Course Description

Provides an overview of select legal and regulatory considerations relating to the markets for public and private securities and debt instruments such as loans and other forms of indebtedness. Students will be exposed to the origins, development and purpose of laws such as the Federal Reserve Act, the Securities Act of 1933 and the Securities Exchange Act of 1934 and more recent legal and regulatory responses to opportunities and challenges in the U.S. financial markets. Considers questions such as whether and to what extent laws and regulations have helped or hindered financial markets, the disclosure and reporting of material information to and by market participants, and how legislation and regulation have responded to and anticipated imbalances and instability in the financial markets.
